A well known case is the starting point for some general remarks about the transfer of the company's seat within national borders. In order to estimate its effects the paper analyzes the various rules of law concerning the registered office of a company in italian corporate law.
The change of the corporate charter is therefore studied in the following respects: rules relating the registration in state offices; rules that form part of the law of procedure; rules that regulates shareholder’s general meeting; bankruptcy and tax rules.
