The concept of “similar control” has a fundamental role in the definition of in house companies, especially because it can foster the intervention of the public shareholder in the management of the company; an intervention that can trigger off faulty managerial actions and then lead to the failure of State-owned enterprises. This problem would be appropriately mitigated if only the part of the definition of “similar control” where it’s specified that it must be “similar to the one exercised over its own departments” was interpreted as a reference - among the various organizational models available for public administration – to the guidance model rather than the hierarchical one, as it seems to be correct to do according to the letter of the provision.
